2. Services
Service scope, deliverables, timelines and pricing are defined in a written proposal, statement of work (SOW), or invoice accepted by both parties. Website content is indicative; the signed SOW prevails in case of conflict.
3. Website Use

- You must not attempt unauthorised access, scraping, or disruption of our systems
- Content on this site is our intellectual property unless stated otherwise
- Portfolio case studies are published with client permission or anonymised
4. Enquiries & Quotes
Quotes provided via our website, email or WhatsApp are valid for 30 days unless stated otherwise. A project begins only after written acceptance and receipt of the agreed deposit or first milestone payment.
5. Payments
- Standard projects: 50% advance, 50% on delivery unless otherwise agreed
- Larger builds may use milestone-based schedules defined in the SOW
- GST invoices issued for Indian clients where applicable
- Late payments may pause work and incur interest at 1.5% per month on overdue amounts
- Third-party costs (domains, hosting, stock assets, ad spend) are billed separately unless included in the quote
6. Intellectual Property
Upon full payment, you receive ownership of custom code, designs and content created specifically for your project, unless otherwise stated in the SOW. We retain the right to reuse general know-how, non-proprietary libraries and internal tools.
Pre-existing OuterCom frameworks, boilerplates and proprietary components remain our property with a perpetual licence granted to you for the delivered project.
We may showcase completed work in our portfolio with your consent.
7. Revisions & Scope Changes
Each project includes revision rounds as specified in the SOW (typically 2–3 rounds per design phase). Additional revisions or scope changes are quoted separately before work proceeds.
8. Client Responsibilities
- Provide timely feedback, content, credentials and approvals
- Ensure supplied content does not infringe third-party rights
- Maintain backups of any self-hosted assets you provide
- Pay invoices per the agreed schedule
9. Warranties & Support
We warrant that deliverables will materially conform to the agreed SOW for 30 days after launch (bug-fix period) unless a separate maintenance plan is purchased. This does not cover issues caused by third-party modifications, hosting misconfiguration, or client content changes.
10. Limitation of Liability
To the maximum extent permitted by law, OuterCom's total liability for any claim arising from our services is limited to the fees paid by you for the specific project giving rise to the claim in the preceding 12 months.
We are not liable for indirect, consequential, or lost-profit damages, or for failures of third-party platforms (hosting, payment gateways, app stores, ad networks).
11. Termination
Either party may terminate a project with 14 days written notice. You pay for all work completed to date plus any non-refundable third-party costs. We deliver all completed work and materials upon settlement.
12. Governing Law & Disputes
These Terms are governed by the laws of India. Courts in Tamil Nadu shall have exclusive jurisdiction. We encourage good-faith negotiation before formal proceedings.
